ShotLabs Terms of Service

Welcome to ShotLabs, a product of Sterling IntelliTech LLC(“Company,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of the ShotLabs platform, including all associated websites, applications, and services (collectively, the “Service”).

By accessing or using ShotLabs, you agree to be bound by these Terms.

1. Eligibility

You must meet the following requirements to use ShotLabs:

  • You must be at least 13 years old.
  • Users aged 13–17 must use the Service under the supervision of a parent, guardian, or sponsoring organization (such as a school or institution).
  • Users aged 18 or older may create accounts independently.
  • If you are using ShotLabs on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Account Registration

To access certain features, you must create an account. You agree to:

  • Provide accurate and complete information
  • Maintain the security of your login credentials
  • Be responsible for all activity under your account

We reserve the right to suspend or terminate accounts that contain false, misleading, or incomplete information.

3. Description of Service

ShotLabs is a production coordination platform designed to assist with:

  • Script organization and breakdown
  • Scheduling and stripboards
  • Call sheet generation
  • Production-day coordination
  • Team collaboration and communication
  • Department-specific workflows
  • Organization-level production management
  • AI-assisted tools and automation

ShotLabs may evolve over time, and features may be added, modified, or removed.

4. User Content & Ownership

4.1 Ownership: You retain full ownership of all content you upload, submit, or create within ShotLabs (“User Content”), including but not limited to scripts, schedules, call sheets, production data, notes, and media.

4.2 License to ShotLabs: By using the Service, you grant ShotLabs a limited, non-exclusive, worldwide license to host, store, process, display, and transmit your User Content solely for the purpose of operating, improving, and providing the Service.

We do not claim ownership of your content.

5. Organization Accounts

ShotLabs supports organization-level usage.

  • Organizations control and manage project-level data within their accounts.
  • Individual users retain ownership of their personal profile data.
  • Organization administrators may add or remove users, assign permissions, and access project-related content.

By joining an organization account, you acknowledge that your contributions to organization-owned projects may be visible and controlled by that organization.

6. Billing, Subscriptions, and Payments

6.1 Subscription Plans: ShotLabs offers both free and paid subscription plans. Paid subscriptions may include monthly billing, annual billing, and automatic renewal.

6.2 Auto-Renewal: All paid subscriptions automatically renew unless canceled prior to the renewal date.

6.3 Early Access Refund Policy: During the Early Access phase, refunds may be requested within 7 days of purchase. Refunds are granted at our discretion.

6.4 Post-Launch Refund Policy: After official public launch, all payments are non-refundable.

6.5 Failure to Pay: If payment fails, access to paid features may be suspended, and accounts may be downgraded or terminated.

7. Acceptable Use

You agree NOT to use ShotLabs to:

  • Violate any laws or regulations
  • Upload or distribute illegal or infringing content
  • Harass, threaten, or harm others
  • Misuse or expose personal data of crew or collaborators
  • Attempt to reverse engineer or exploit the Service
  • Interfere with system integrity or performance

We reserve the right to investigate and take action against violations, including account suspension or termination.

8. AI Features Disclaimer

ShotLabs may provide AI-assisted tools. You acknowledge that:

  • AI-generated outputs may be inaccurate or incomplete
  • You are solely responsible for reviewing and verifying AI-generated content
  • ShotLabs does not guarantee the reliability of AI outputs

AI features are provided “as-is.”

9. Termination & Suspension

We reserve the right, at our sole discretion, to:

  • Suspend or terminate accounts
  • Remove content
  • Restrict access to the Service

This may occur:

  • For violations of these Terms
  • For misuse of the platform
  • To protect the integrity of the Service

Users may terminate their accounts at any time.

10. Service Availability

We strive to provide a reliable platform but do not guarantee:

  • Continuous uptime
  • Error-free operation
  • Immediate resolution of issues

The Service may be modified, interrupted, or discontinued at any time.

11. Limitation of Liability

To the fullest extent permitted by law, ShotLabs and Sterling IntelliTech LLC shall not be liable for:

  • Production failures
  • Scheduling errors
  • Financial losses
  • Lost data
  • Missed deadlines
  • Indirect, incidental, or consequential damages

Your use of the Service is at your own risk.

12. Disclaimer of Warranties

The Service is provided “as is” and “as available.”

We make no warranties regarding:

  • Accuracy
  • Reliability
  • Availability
  • Fitness for a particular purpose

13. Intellectual Property

All ShotLabs branding, design, software, and platform elements are owned by Sterling IntelliTech LLC and are protected by applicable laws.

You may not:

  • Copy
  • Modify
  • Distribute
  • Resell

any part of the Service without permission.

14. Changes to Terms

We may update these Terms at any time.

  • Changes will be posted with an updated date
  • Continued use of the Service constitutes acceptance of updated Terms

15. Governing Law

These Terms are governed by the laws of the State of Tennessee, United States, without regard to conflict of law principles.
